These Account Terms (“Account Terms”) govern the creation and use of your M-XR account (your “Account”) with M-XR Limited (“M-XR”, “we”, “us”, company number 11405138, registered office 159 High Street, Barnet, England EN5 5SU). You create and access your Account at app.m-xr.com and marso.app. By creating an Account, you agree to be bound by these Account Terms. If you do not agree, do not create an Account.
Your Account is the single sign-in through which M-XR makes its products and services available to you. Your use of individual products is also governed by that product’s own terms, which apply in addition to these Account Terms:
How we handle your personal data is described in these Account Terms and, in full, in our Privacy Policy. If there is any conflict between these Account Terms and a product’s own terms in respect of that product, the product’s terms prevail for that product.
1.1 You may only create and hold an Account if you are an adult in your jurisdiction (and in any event at least eighteen (18) years of age). If you are not an adult in your jurisdiction, you may not create an Account.
1.2 If you create an Account on behalf of an organisation, you represent and warrant that you have authority to bind that organisation to these Account Terms, and references to “you” include that organisation.
2.1 To access M-XR’s products and services you must create an Account. You agree to provide accurate, current, and complete information when registering, and to keep that information up to date.
2.2 M-XR may refuse to provide, or may suspend or cancel, an Account at its reasonable discretion, including where registration information is inaccurate or these Account Terms are breached.
3.1 Your Account is provided to you individually. You may not share your Account or access credentials, or permit any third party to use your Account on your behalf, without M-XR’s prior written consent.
3.2 You are responsible for maintaining the confidentiality of your Account credentials and for all activity that occurs under your Account. You must notify M-XR immediately at support@m-xr.com of any unauthorised use of your Account or any other breach of security.
3.3 You agree not to use your Account or any M-XR product or service for any unlawful purpose or in any way that breaches these Account Terms or the applicable product terms.
4.1 Compliance. M-XR processes personal data in accordance with the UK General Data Protection Regulation (“UK GDPR”), the Data Protection Act 2018, and our Privacy Policy, which forms part of these Account Terms and describes in full what personal data we collect, how we use it, and the legal bases on which we rely.
4.2 Data we process. In connection with your Account, we process account data (such as your name, email address, organisation details, and login credentials) for the purposes of creating and administering your Account and providing our products and services.
4.3 Sharing your personal information. We do not sell your personal data. We may share it with: (a) service providers and sub-processors who help us operate our products and services (including cloud infrastructure and AI model hosting and inference providers), who may process data outside the UK and EEA (including in the United States) under appropriate safeguards; (b) our affiliates; © a successor entity in connection with a merger, acquisition, or sale of assets; and (d) authorities or other third parties where required by law or with your consent. Further detail, including our current sub-processors, is set out in our Privacy Policy.
4.4 Your rights. Under the UK GDPR you have the right to access, rectify, erase (“right to be forgotten”), restrict the processing of, and port your personal data, and to object to processing and to withdraw consent. To exercise any of these rights — including to request deletion of your Account and associated personal data — contact us at support@m-xr.com. You also have the right to lodge a complaint with the Information Commissioner’s Office (ICO).
4.5 Deleting your Account. You may request deletion of your Account at any time by contacting support@m-xr.com. On deletion we will delete or anonymise your personal data in accordance with our Privacy Policy, except where we are required or permitted by law to retain it.
5.1 You may close your Account at any time by contacting support@m-xr.com.
5.2 M-XR may suspend or terminate your Account, and/or your access to any M-XR product or service, at any time if you breach these Account Terms or the applicable product terms, or if M-XR reasonably believes your use poses a risk to M-XR, its providers, other users, or third parties, or if required to do so by law.
5.3 On termination of your Account, your right to access M-XR’s products and services through the Account ceases. Termination of your Account does not affect any rights or liabilities that have accrued prior to termination, and any provisions that by their nature should survive (including those relating to personal data, and the applicable product terms) shall survive.
6.1 M-XR may update these Account Terms at any time by posting the revised version. Where a change is material or disadvantageous to you, M-XR will use reasonable efforts to notify you (by email or in-app notification) at least five (5) days before the change takes effect.
6.2 Your continued use of your Account following the effective date of any updated Account Terms constitutes your acceptance of those changes. If you do not agree to the updated Account Terms, you must stop using your Account.
7.1 Additional terms. These Account Terms apply together with the terms of each M-XR product you use (including the Marso Studio Terms of Service and any separate Marso Measure terms), any Credit Purchase and Payment Terms, and our Privacy Policy.
7.2 Assignment. You may not assign or transfer any rights or obligations under these Account Terms without M-XR’s prior written consent. M-XR may assign or transfer its rights and obligations on reasonable notice to you.
7.3 Severability. If any provision of these Account Terms is found to be unenforceable, it shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
7.4 Governing law. These Account Terms and any non-contractual obligations arising from them are governed by the laws of England and Wales, and the parties submit to the exclusive jurisdiction of the courts of England and Wales.
